1. Agreement

These Terms of Service (“Terms”) govern your access to the website at service-magnoliacore.click (the “Site”) operated by Magnolia Core Business Partners Ltd. (“Magnolia Core,” “we,” “us”). By using the Site, you agree to these Terms. If you do not agree, do not use the Site.

Separate engagement letters govern paid advisory services. If an engagement letter conflicts with these Terms regarding services, the engagement letter prevails for that engagement.

2. Services description

Magnolia Core provides business consulting focused on cost structure review and related financial advisory for growing companies. Information on the Site describes our services for general reference. It does not constitute an offer binding on either party until an engagement letter is signed.

3. Acceptable use

You agree not to:

  • Use the Site for unlawful purposes or to transmit harmful code
  • Attempt unauthorised access to our systems or data
  • Scrape or harvest content in bulk without written permission
  • Misrepresent your identity or affiliation when contacting us

4. Intellectual property

Content on the Site—including text, graphics, logos, and layout—is owned by Magnolia Core or its licensors and protected by applicable intellectual property laws. You may view and print pages for personal, non-commercial reference. You may not reproduce, distribute, or create derivative works without prior written consent.

Client deliverables produced under a signed engagement are addressed in the applicable engagement letter.

5. Confidentiality

Information you submit through contact forms or email may be used to respond to your inquiry and, if you become a client, to perform services. Our handling of personal data is described in our Privacy Policy.

6. Disclaimers

The Site and its content are provided “as is” without warranties of any kind, express or implied, including accuracy, completeness, or fitness for a particular purpose. General information on the Site is not professional advice. You should not rely on it as a substitute for advice tailored to your circumstances.

7. Limitation of liability

To the fullest extent permitted by law, Magnolia Core shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Site. Our aggregate liability for claims related to the Site shall not exceed TWD 10,000.

Nothing in these Terms limits liability that cannot be limited under applicable law.

8. Indemnification

You agree to indemnify and hold Magnolia Core harmless from claims arising from your misuse of the Site or violation of these Terms.

The Site may link to external websites. We do not control and are not responsible for third-party content or practices.

10. Governing law and jurisdiction

These Terms are governed by the laws of Taiwan (Republic of China), without regard to conflict-of-law principles. Courts in New Taipei City, Taiwan shall have exclusive jurisdiction over disputes arising from these Terms or use of the Site, subject to mandatory consumer protections if applicable.

11. Changes

We may update these Terms by posting a revised version on the Site with a new effective date. Continued use after changes constitutes acceptance.
